Terms of Service

These terms govern your use of Meridian, the property management software from Genoa Labs, LLC. Please read them carefully.

1. About Meridian and These Terms

Meridian is property management software operated by Genoa Labs, LLC (“Genoa Labs,” “we,” “us”). These Terms of Service (the “Terms”) govern your access to and use of Meridian, including the website, application, and free tools (collectively, the “Service”).

By creating an account or otherwise using the Service, you agree to these Terms. If you are using Meridian on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. What Meridian Provides

Meridian is a record-keeping, financial-tracking, and organizational tool for owners of residential rental property. It helps you track properties, tenants, rent, income and expenses, maintenance, renovations, documents, and reminders.

Meridian is not a payment processor, legal advisor, tax advisor, accounting system, or tenant portal, and it does not collect or disburse rent. We may add, change, or remove features over time as the product evolves.

3. Property Management Responsibility

Meridian is a record-keeping and organizational tool only. You retain sole responsibility for how you manage your properties, including compliance with landlord-tenant law, lease enforcement, fair housing compliance, the accuracy of your financial records, and all property management decisions.

Regulatory requirements vary by state and locality and change over time. You are responsible for independently verifying any legal or regulatory requirement that applies to you. Any computed values in the Service — including rent calculations, financial summaries, and the outputs of our free tools — are estimates provided for convenience and are not legal, tax, or financial advice.

4. Accounts and Acceptable Use

You are responsible for the accuracy of the information you enter, for safeguarding your credentials, and for all activity that occurs under your account. If you invite team members through multi-user access, you are responsible for their use of your account and the data they can access.

You agree not to:

  • Access the Service, another account, or any data without authorization;
  • Disrupt, overload, or interfere with the Service or its infrastructure;
  • Reverse engineer, decompile, or attempt to extract source code except where such restriction is prohibited by law;
  • Use the Service for any unlawful purpose or in violation of these Terms.

5. Subscriptions, Billing, and Cancellation

Paid plans are billed monthly or annually through our payment processor, Stripe. Subscriptions renew automatically at the end of each billing period unless canceled. You may cancel at any time; cancellation takes effect at the end of the current billing period, and we do not provide partial refunds for unused time.

Paid plans begin with a free trial as described at signup, and a payment method is required upfront. If a payment fails, we may suspend or pause access until the payment method is updated. Your data is retained during this period in accordance with the retention terms below.

6. Your Data and Ownership

You own the data you enter into Meridian. You grant Genoa Labs a limited license to store, process, and display that data solely to operate and provide the Service to you. You can export your data as CSV at any time.

When you close your account, we delete your data from our active systems after a reasonable retention window. Residual copies that exist in routine backups are overwritten on our normal backup schedule.

7. Service Availability and Changes

We provide the Service on a best-effort basis and do not guarantee any particular level of uptime or availability. We may modify, add, or remove features, and we may suspend the Service for maintenance. We are not liable for any consequences arising from downtime or unavailability.

8. Disclaimer of Warranties

The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service, or any value it computes, is accurate or sufficient for any legal, tax, or financial decision.

9. Limitation of Liability

To the maximum extent permitted by law, Genoa Labs will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any lost profits or lost data, arising out of or related to your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid to Genoa Labs in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Genoa Labs from any claims, damages, liabilities, and expenses arising out of your use of the Service, the data you enter, your property management decisions, your violation of any law or regulation, or your breach of these Terms.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after an update constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Wisconsin for any dispute arising out of these Terms or the Service.

13. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms are the entire agreement between you and Genoa Labs regarding the Service.
